Replace the water tanks and piping in 25 schools in North Amman Area For UNRWA schools in Jordan to provide clean water for school children,in addition to the provision of each school with WATER SUPPLIES area equipped with water taps and covers.

MOU between Rotary Jordan Clubs and UNRWA been signed. for this project Rotary CLUB Of Amman Petra will be the host for this project. we seek international partners from Rotary clubs globally in order to be able to submit application for Global Grant to finance this project.

Whereas, UNRWA is mandated to provide assistance and protection to some five million registered Palestine refugees. Its mission is to help Palestine refugees in Jordan, Lebanon, Syria, West Bank and the Gaza Strip to achieve their full potential in human development, pending a just solution to their plight. UNRWA's services encompass education, health care, relief and social services, camp infrastructure and improvement, microfinance and emergency assistance. UNRWA is funded almost entirely by voluntary contributions.

Whereas, Rotary International is a non-profit organisation that has one million two hundred and fifty thousand members all over the world. Its members are professionals and community leaders who work together to create lasting change in their communities and around the world. Rotary does that through service projects that aim to reduce hunger, illiteracy, poverty and provide clean water and sanitation to needy communities, all within a well-defined Avenues of Services.

Whereas, UNRWA wishes to refit and /or reequip drinking fountains in the schools administered by UNRWA within the geographical borders of the Hashemite Kingdom of Jordan. And whereas UNRWA has no objections to achieve this objective, and has no objections against the fulfilment of this objective by the Clubs in accordance to what is mentioned here-above the two Parties agreed on the following:

1. The preamble of this agreement is an integral part of the agreement and read together for the same purposes and objectives.

2. The obligations of UNRWA

2.1 UNRWA provides the Clubs with names of schools according to the needs and conditions of these schools which needs and conditions will be assessed and determined by the Clubs.

2.2 UNRWA will take ownership of all the new water system installed by the Clubs upon completion and undertakes to maintain it in a good working condition after its completion.

3. The obligations of the Clubs:

3.1 In consultation with UNRWA, concluding the reparation and/or refitting and /or reequipping of the drinking fountains in schools administered by UNRWA within the geographic borders of the Hashemite Kingdom of Jordan and carrying all expenses of reparations or refitting as well as executing the work in phase's contingent with funds made available by the Clubs.

a. The Clubs shall repair and/or refit and /or reequip all drinking-water roof tanks.

b. The Clubs shall repair and /or refit and /or reequip the water -pipe- network connecting the roof water tanks with drinking fountains. The Clubs shall repair and/or refit and /or reequip drinking fountains and tabs.

3.2 The Clubs shall report to UNRWA and share the lessons learnt in the implementation of the Project.

3.3 The Clubs shall arrange to carry out, once the work is completed, some services by others related to periodic checking of the water quality to ensure that the water system has been properly maintained in a good condition after its completion.

3.4 The Club will distribute the UNRWA schools that are assigned to receive the services described above to different Rotary Club in Jordan that are interested and can possibly avail the funds to execute the work.

4. The geographic scope of this agreement is the schools of UNRWA within the geographical borders of the Hashemite Kingdom of Jordan mentioned on the list provided by UNRWA in accordance with article 2.2.Initially the Project is anticipated to cover 95 schools buildings in Amman. In the later stage the Parties may review the number upon undertaking the physical assessment.

5. The two parties agreed that each party assigns a liaison officer to coordinate between the two parties and to follow up on the finished schools for delivery and acceptance purposes.

6. UNRWA will not be liable to any form of financial obligations related to the refitting and/or reequipping of drinking fountains in the provided schools. However each part will be responsible for all salaries costs and expenses related to their respective staff who will be assigned to the project for its whole duration.

7. In consultation with UNRWA, clubs have the right to fix signs carrying their names as well as the name of the supporting parties at the site agreed upon by the parties in each school upon the conclusion of the work.

8. Subject to the UNRWA Regulatory Framework and article 12, UNRWA accepts to have the Clubs post in various social and traditional media, any news, photos or events related to the above rehabilitation works.

9. Both Parties agreed that generally accepted principles of international commercial law govern this agreement and the interpretation of its provisions. Any arising dispute or difference shall be settled amicably. Unless any such dispute or difference is settled amicably within 60 (sixty) days after receipt by one Party of the other Party's request for such amicable settlement, such dispute or difference shall be referred by either Party to arbitration before the Permanent Court of Arbitration in accordance with its Optional Rules for Arbitration between International Organizations and Private Parties in force on the date of the MOU.

There shall be one arbitrator. The place of arbitration shall be Amman, Jordan and shall be concluded in the English language applying general principles of international commercial law. The arbitrator's decision shall be binding on the Parties, provided the arbitrator shall have no authority to award interest or punitive damages, and there shall be no appeal. These provisions for arbitration shall be in lieu of any other procedure for the settlement of disputes or differences among or between the Parties.

10. This MOU shall be effective and shall be commencing upon the receipt of the official commitment made by the international Rotary Clubs related to the funding of the Project , and thereafter the actual transfer of the said funding to the respective Clubs in Jordan for this particular project and shall expire:

a. When the Clubs conclude all repairs and/or refitting and/or reequipping of drinking fountains in the schools administered by UNRWA within the geographical borders of the Hashemite Kingdom of Jordan.

b. Upon a letter issued by the Clubs and addressed to UNRWA stating the inability of the Clubs to continue with the repairs and/or refitting and/or reequipping of the drinking fountains in the schools administered by UNRWA within the geographical borders of the Hashemite Kingdom of Jordan.

c. Upon a letter issued by UNRWA addressed to the Clubs to discontinue the repairs and /or refitting and/or reequipping of the drinking fountains in UNRWA schools.

d. Force majeure.

f. In case any breach of any of the representations and warranties contained in Article 16 by either Party, the other Party shall be entitled to terminate the MOU immediately upon notice to the defaulting Party.

In any event of termination of this MOU, the Parties shall cooperate in bringing the activities carried out by the Parties hereunder to a prompt and orderly conclusion and the Partner shall immediately cease any use of UNRWA's name, abbreviation of the name and emblem and take action to urgently remove UNRWA's name, abbreviation of the name and emblem from its own name and logo.

11. UNRWA shall acknowledge the receipt of every concluded school with an official letter issued to the Clubs by UNRWA without undue delay.

12. Use of name, trademark or logo

Neither Party shall use the name, abbreviation of the name, emblem, trademark or logo of the other in any advertisement, press release, publicity or other materials printed or published with reference to this MOU or otherwise, without the express written consent of the other. This provision shall survive the expiration or termination of this MOU. Provided that such approval will not be unreasonably withheld.

13. Title to all equipment and supplies that may be furnished by UNRWA shall remain vested in UNRWA and shall be returned to UNRWA at the conclusion of this MOU or when no longer needed by the Partner. Such equipment, when returned to UNRWA, shall be in the same condition as when delivered to the Partner, subject to normal wear and tear, and the Partner shall compensate UNRWA for any and all damage to such equipment.

14. The Clubs shall indemnify, hold and save harmless, and defend, at its own expense, UNRWA, its officials, employees, consultants, agents or other representatives from and against all suits, claims, demands, and liability of any nature or kind, including their costs and expenses, arising out of acts or omissions of the Partner and/or the Personnel in the performance of the MOU. The obligations under this Article do not lapse upon expiration or termination of the MOU.

Likewise, UNRWA shall indemnify, hold and save harmless, and defend, at its own expense, Clubs its officials, employees, consultants, agents or other representatives from and against all suits, claims, demands, and liability of any nature or kind, including their costs and expenses, arising out of acts or omissions of the Partner and/or the Personnel in the performance of the MOU. The obligations under this Article do not lapse upon expiration or termination of the MOU.

15. Representations and Warranties

15.1 The Partner represents and warrants that the person signing this MOU on behalf of the Partner has, on the date of the signature of this MOU, full powers and all the authorisations required to sign this MOU, as well as to perform all the obligations undertaken by and deriving from this MOU.

15.2 Each Party represents and warrants to the other Party as of the date hereof, and further undertakes to the other Party during the Term, for itself and for its officials, employees, consultants, agents, sub-contractors and other representatives, that:

(i) none of them are engaged in:

(a) any transactions with, and/or the provision of resources and support to, individuals and organizations associated with, receiving any type of training for, or engaged in, any act or offense described in Article 2, Sections 1, 3, 4 or 5 of the International Convention for the Suppression of the Financing of Terrorism, adopted by the General Assembly of the United Nations in Resolution 54/109 of 9 December 1999;

(b) child labour or any practice inconsistent with the rights set forth in the United Nations Convention on the Rights of the Child 1989;

(c) the sale or manufacture of anti-personnel mines or their components utilized in the manufacture of anti-personnel mines; and/or

(d) sexual exploitation or abuse of anyone, and further warrants that they shall take all appropriate measures to prevent the same,

(ii) they have not, and shall not, offer any bribe or direct or indirect benefit arising from or related to the performance of the MOU to any officials, employees, consultants, agents or other representatives of the other Party.

15.3 The Partner undertakes to UNRWA during the Term that:

(i) it shall comply with all laws bearing upon the performance of its obligations under the terms of this MOU;

(ii) it shall conduct itself, and shall cause Personnel to conduct themselves, in conformity with the highest ethical principles and standards of conduct and in a manner that at all times protects the interests of UNRWA;

(iii) it shall respect the impartiality and independence of UNRWA as an organ of the United Nations and shall neither seek nor accept instructions relating to this MOU from any Government or other authority external to UNRWA;

(iv) it shall refrain from any conduct that would adversely reflect on UNRWA and shall not engage in any activity that is incompatible with the aims and objectives of UNRWA.

15.4 Each Party represents and warrants to the other Party that it has not, and undertakes to the other Party that it shall not, infringe any third party intellectual property rights in performing any activities pursuant to this MOU.

16. Nothing in or relating to this MOU shall be deemed a waiver, express or implied, of any of the privileges and immunities accorded to UNRWA in international law.

17. The Partner shall not assign, transfer, pledge, sub-contract or make other disposition of the MOU or any part thereof, or any of the Partner's rights, claims or obligations under the MOU except with the prior written consent of UNRWA

18. This agreement consists of 18 articles including this article on two original copies void of any scratches or defaults or hand written additions. Each party receives and keeps its copy written in Amman on day date
